1. Effective date
These Terms and Conditions are effective from 27 September 2026 and were last updated on 27 September 2026.
These Terms govern your access to and use of MigrateIQ and related services provided by Versionz Corporation Private Limited ("Versionz", "we", "us", or "our").
2. Acceptance of these Terms
By accessing, purchasing, subscribing to, installing, evaluating, or using MigrateIQ, you agree to be bound by these Terms and Conditions.
If you use MigrateIQ on behalf of an organisation, you represent that you have the authority to accept these Terms on behalf of that organisation.
If you do not agree with these Terms, you must not use MigrateIQ.
Where MigrateIQ is made available through a third-party marketplace or platform, additional terms from that platform may also apply to your purchase or subscription.
3. Use of MigrateIQ
Subject to these Terms and the applicable subscription or purchase arrangement, Versionz grants you a limited, non-exclusive, non-transferable right to use MigrateIQ for your internal business purposes during the applicable subscription period.
You agree to use MigrateIQ only in accordance with applicable laws and these Terms.
You must not:
- Copy, modify, distribute, or create derivative works based on MigrateIQ except as permitted by applicable law.
- Reverse engineer, decompile, disassemble, or attempt to discover the underlying source code, logic, methodology, or proprietary technology of MigrateIQ.
- Use MigrateIQ to develop or support a competing product or service.
- Circumvent or interfere with the security, access controls, or usage restrictions of the service.
- Make MigrateIQ available to unauthorised third parties.
- Connect the service to, or move data into or out of, any environment you are not authorised to access.
- Use the service in an unlawful, harmful, or unauthorised manner.
Versionz reserves all rights not expressly granted under these Terms.
4. Subscriptions, payments, and cancellation
Subscription plans, pricing, billing terms, and applicable usage limits will be communicated to you at the time of purchase or through the applicable subscription platform.
Where your subscription is purchased through a third-party marketplace, billing, payments, cancellations, and refunds may be subject to that marketplace's applicable terms and policies.
Versionz may update its pricing or subscription plans from time to time. Any changes will generally apply to future subscription periods unless otherwise required by applicable law.
We may suspend or restrict access to MigrateIQ where reasonably necessary, including for non-payment, security concerns, misuse, or a breach of these Terms.
5. Customer responsibilities
MigrateIQ writes data into the environments you connect to it, including environments you designate as production. You are responsible for:
- Ensuring that you have the necessary rights and authority to use MigrateIQ and to read from and write to each environment and company you register with it.
- Registering, selecting, and correctly identifying the source and target environments used in each migration, including which of them are production.
- The accuracy, completeness, and lawfulness of the data you migrate, and of the files you upload.
- Maintaining the security of your accounts and access credentials.
- Reviewing the proposed loading order and scope before starting a migration, and removing anything that should not be migrated.
- Reviewing migration results, including records reported as rejected or in error, before relying on the migrated data.
- Ensuring that your use of the service complies with applicable laws and regulations.
You are responsible for the information, environments, and systems under your control.
Migration creates and updates records in the target environment and cannot be assumed to be reversible. You are responsible for taking and verifying your own backups, and for confirming that a target environment is an appropriate destination, before starting a migration.
Decisions about testing, sign-off, and production cut-over remain yours.
6. Intellectual property
MigrateIQ, including its software, technology, functionality, documentation, branding, content, and all related intellectual property rights, is owned by Versionz or its licensors.
Nothing in these Terms transfers ownership of MigrateIQ or any Versionz intellectual property to you.
You retain ownership of your own data and information, including the data you migrate, the files you upload, and the mappings and sequence templates you create. Versionz does not claim ownership of customer data.
We may use aggregated or de-identified information for legitimate business purposes, including operating, maintaining, securing, and improving our services, where permitted by applicable law.
Neither party may use the other party's name, trademarks, or branding without prior permission, except where permitted by applicable law or a separate written agreement.
7. Confidentiality
Each party may receive confidential information from the other in connection with the use or provision of MigrateIQ.
Each party agrees to:
- Protect the other party's confidential information using reasonable care.
- Use confidential information only for purposes related to the services and business relationship.
- Limit access to confidential information to authorised individuals who have a legitimate need to access it.
These obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, or must be disclosed under applicable law.
Versionz's non-public technology, product information, and proprietary business information will be treated as confidential information.
8. Support and changes to the service
Versionz provides support for MigrateIQ in accordance with the applicable subscription or support arrangements, and the published support hours and target first-response times.
We may update, modify, improve, or discontinue certain features of MigrateIQ from time to time.
We will make reasonable efforts to communicate material changes where appropriate.
9. Third-party platforms and dependencies
MigrateIQ operates alongside Microsoft Dynamics 365 and related Microsoft services, and depends on the availability, behaviour, and access permitted by those platforms.
Your use of those platforms is governed by your own agreements with their providers, not by these Terms.
Versionz is not responsible for changes, limitations, outages, or defects originating in a third-party platform, or for the consequences of such matters for a migration.
10. Data protection and privacy
Each party is responsible for complying with the data protection laws applicable to its activities.
Versionz processes personal and customer information as necessary to provide and support MigrateIQ and related services.
Customers remain responsible for ensuring that they have the necessary rights and authority to provide or make information available through their use of MigrateIQ, including information present in the environments and files they connect to it.
Where the data you migrate contains personal information, you remain responsible for the lawful basis of that processing and for the choice of source and destination.

11. Warranties and disclaimers
Versionz will use reasonable efforts to provide MigrateIQ in a professional manner.
Except as expressly stated in these Terms or required by applicable law, MigrateIQ is provided on an “as available” and “as is” basis.
We do not guarantee that the service will always be uninterrupted, error-free, or available at all times.
MigrateIQ is intended to assist customers with data migration activities. It does not guarantee that any migration will complete without errors, that every record will be accepted by the destination system, or that migrated data will be fit for any particular purpose.
Customers remain responsible for independently reviewing and validating migration results, and for their own testing, reconciliation, and cut-over decisions.
To the maximum extent permitted by applicable law, Versionz disclaims warranties that are not expressly stated in these Terms.
12. Limitation of liability
To the maximum extent permitted by applicable law, Versionz will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data.
To the extent permitted by applicable law, Versionz's total liability arising from or relating to MigrateIQ or these Terms will not exceed the amount paid by the customer for the applicable services during the relevant period.
Nothing in these Terms excludes or limits liability where such liability cannot legally be excluded or limited.
13. Suspension and termination
These Terms remain in effect while you use or maintain an active subscription to MigrateIQ.
You may stop using the service or cancel your subscription in accordance with the applicable subscription terms.
Versionz may suspend or terminate access to MigrateIQ where reasonably necessary, including where:
- You materially breach these Terms.
- Payment obligations are not met.
- Your use creates a security or legal risk.
- We are required to do so by law.
Upon termination, your right to use MigrateIQ will end. Data already migrated into your own environments is unaffected and remains yours.
The provisions relating to intellectual property, confidentiality, liability, and any other provisions that should reasonably continue after termination will survive termination.
14. Governing law
These Terms will be governed by the applicable laws of India, unless otherwise required by applicable law or agreed in a separate written agreement.
Any disputes arising from these Terms will be subject to the appropriate courts or other dispute-resolution procedures in accordance with applicable law.
15. Changes to these Terms
Versionz may update these Terms from time to time to reflect changes to our services, business practices, or legal requirements.
The latest version will be published on our website and will include the date it was last updated.
Where a material change affects your rights or obligations, we may provide appropriate notice.
Your continued use of MigrateIQ after updated Terms become effective constitutes acceptance of those updated Terms, to the extent permitted by applicable law.
