1. Effective date

These Terms govern your access to and use of CompareIQ and related services provided by Versionz Corporation Private Limited ("Versionz", "we", "us", or "our").
2. Acceptance of these Terms
By accessing, purchasing, subscribing to, installing, or using CompareIQ, you agree to be bound by these Terms and Conditions.
If you use CompareIQ on behalf of an organisation, you represent that you have the authority to accept these Terms on behalf of that organisation.
If you do not agree with these Terms, you must not use CompareIQ.
Where CompareIQ is purchased through a third-party marketplace or platform, additional terms from that platform may also apply to your purchase or subscription.
3. Use of CompareIQ
Subject to these Terms and the applicable subscription or purchase arrangement, Versionz grants you a limited, non-exclusive, non-transferable right to use CompareIQ for your internal business purposes during the applicable subscription period.
You agree to use CompareIQ only in accordance with applicable laws and these Terms.
You must not:
- Copy, modify, distribute, or create derivative works based on CompareIQ except as permitted by applicable law.
- Reverse engineer, decompile, disassemble, or attempt to discover the underlying source code, logic, methodology, or proprietary technology of CompareIQ.
- Use CompareIQ to develop or support a competing product or service.
- Circumvent or interfere with the security, access controls, or usage restrictions of the service.
- Make CompareIQ available to unauthorised third parties.
- Use the service in an unlawful, harmful, or unauthorised manner.
Versionz reserves all rights not expressly granted under these Terms.
4. Subscriptions, payments, and cancellation
Subscription plans, pricing, billing terms, and applicable usage limits will be communicated to you at the time of purchase or through the applicable subscription platform.
Where your subscription is purchased through a third-party marketplace, billing, payments, cancellations, and refunds may be subject to that marketplace's applicable terms and policies.
Versionz may update its pricing or subscription plans from time to time. Any changes will generally apply to future subscription periods unless otherwise required by applicable law.
We may suspend or restrict access to CompareIQ where reasonably necessary, including for non-payment, security concerns, misuse, or a breach of these Terms.
5. Customer responsibilities
You are responsible for:
- Ensuring that you have the necessary rights and authority to use CompareIQ.
- Providing accurate information required for your use of the service.
- Maintaining the security of your accounts and access credentials.
- Ensuring that your use of the service complies with applicable laws and regulations.
- Reviewing information and results generated through the service before making business or technical decisions based on them.
You are responsible for the information and systems under your control.
6. Intellectual property
CompareIQ, including its software, technology, functionality, documentation, branding, content, and all related intellectual property rights, is owned by Versionz or its licensors.
Nothing in these Terms transfers ownership of CompareIQ or any Versionz intellectual property to you.
You retain ownership of your own data and information. Versionz does not claim ownership of customer data.
We may use aggregated or de-identified information for legitimate business purposes, including operating, maintaining, securing, and improving our services, where permitted by applicable law.
Neither party may use the other party's name, trademarks, or branding without prior permission, except where permitted by applicable law or a separate written agreement.
7. Confidentiality
Each party may receive confidential information from the other in connection with the use or provision of CompareIQ.
Each party agrees to:
- Protect the other party's confidential information using reasonable care.
- Use confidential information only for purposes related to the services and business relationship.
- Limit access to confidential information to authorised individuals who have a legitimate need to access it.
These obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, or must be disclosed under applicable law.
Versionz's non-public technology, product information, and proprietary business information will be treated as confidential information.
8. Support and changes to the service
Versionz may provide support for CompareIQ in accordance with the applicable subscription or support arrangements.
We may update, modify, improve, or discontinue certain features of CompareIQ from time to time.
We will make reasonable efforts to communicate material changes where appropriate.
9. Data protection and privacy
Each party is responsible for complying with the data protection laws applicable to its activities.
Versionz processes personal and customer information as necessary to provide and support CompareIQ and related services.
Our collection, use, and handling of personal information are further described in our Privacy Policy.
Customers remain responsible for ensuring that they have the necessary rights and authority to provide or make information available through their use of CompareIQ.
10. Warranties and disclaimers
Versionz will use reasonable efforts to provide CompareIQ in a professional manner.
Except as expressly stated in these Terms or required by applicable law, CompareIQ is provided on an “as available” and “as is” basis.
We do not guarantee that the service will always be uninterrupted, error-free, or available at all times.
CompareIQ is intended to assist users in their business activities. Customers remain responsible for independently reviewing and validating information and making their own decisions.
To the maximum extent permitted by applicable law, Versionz disclaims warranties that are not expressly stated in these Terms.
11. Limitation of liability
To the maximum extent permitted by applicable law, Versionz will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data.
To the extent permitted by applicable law, Versionz's total liability arising from or relating to CompareIQ or these Terms will not exceed the amount paid by the customer for the applicable services during the relevant period.
Nothing in these Terms excludes or limits liability where such liability cannot legally be excluded or limited.
12. Suspension and termination
These Terms remain in effect while you use or maintain an active subscription to CompareIQ.
You may stop using the service or cancel your subscription in accordance with the applicable subscription terms.
Versionz may suspend or terminate access to CompareIQ where reasonably necessary, including where:
- You materially breach these Terms.
- Payment obligations are not met.
- Your use creates a security or legal risk.
- We are required to do so by law.
Upon termination, your right to use CompareIQ will end.
The provisions relating to intellectual property, confidentiality, liability, and any other provisions that should reasonably continue after termination will survive termination.
13. Governing law
These Terms will be governed by the applicable laws of India, unless otherwise required by applicable law or agreed in a separate written agreement.
Any disputes arising from these Terms will be subject to the appropriate courts or other dispute-resolution procedures in accordance with applicable law.
14. Changes to these Terms
Versionz may update these Terms from time to time to reflect changes to our services, business practices, or legal requirements.
The latest version will be published on our website and will include the date it was last updated.
Where a material change affects your rights or obligations, we may provide appropriate notice.
Your continued use of CompareIQ after updated Terms become effective constitutes acceptance of those updated Terms, to the extent permitted by applicable law.
